KŠB Contributes to New Commentary on the Corporations Act

The brand new commentary on the Corporations Act should make life easier for all business corporations and their representatives. The team of authors was led by KŠB senior associate Jan Lasák, with senior associate Martin Kubík and legal assistant Josef Kříž also contributing.

The two-volume commentary puts great emphasis on case-law applicable to the new Corporations Act and also includes supplementary legislation and tax and accounting implications. Published by prominent legal publisher Wolters Kluwer, the books are available for purchase online through its e-shop.

KŠB achieved a significant victory in one of the most closely watched cases concerning a review of the adequacy of the consideration paid in a squeeze-out of minority shareholders

The Municipal Court in Prague, in the first instance, dismissed the claims of former minority shareholders of PFNonwovens a.s., who challenged the adequacy of the consideration paid during the squeeze-out carried out in March 2021 and sought to have it increased by up to double the amount.
