KŠB represented TELEFÓNICA, S.A. in the acquisition of ČESKÝ TELECOM

KŠB represented Spanish company TELEFÓNICA, S.A. in the acquisition of a 51.1%share in ČESKÝ TELECOM. This was the largest acquisition in the Czech Republicin 2005, with the purchase price reaching nearly 83 billion Czech crowns.
The legal services involved representing TELEFÓNICA, S.A. - one of the largestmultinational telecommunication company - throughout the entire selectionprocedure for the purchase of the majority share from the National PropertyFund, including providing complete due diligence on ČESKÝ TELECOM andnegotiating the transaction documents.
In connection with the takeover of ČESKÝ TELECOM, KŠB also represented the newmajority shareholder in the subsequent public buyout of shares from minorityshareholders, in the course of which TELEFÓNICA obtained an additional 18.3% ofshares in ČESKÝ TELECOM.
