KSB assists OKD in combined spin-off

Kocián Šolc Balaštík, as long term legal counsel to New World Resources, assisted NWR Group member OKD, a.s. with restructuring that involved spin-off via combining a merger and foundation of new companies.

The transaction included transfer of real estate not used for OKD’s major business to two existing companies, RPG RE Property, a.s. and Dukla Industrial Zone, a.s., and shareholdings in OKD, Rekultivace, a.s. and Garáže Ostrava, a.s. to two newly founded companies, RPG Rekultivace, a.s. and RPG Garáže, a.s.

OKD, as the only Czech black coal producer, is engaged in prospecting, mining, refining and selling low-sulphur black coal and is one of the largest domestic employers.
