Solitea continues with acquisitions, again with the assistance of KŠB

The KŠB team led by partner Drahomír Tomašuk and lawyer Ján Béreš assisted the Solite holding in another acquisition this year. Solitea has acquired 100% of the Czech-Slovak group D3Soft, which has been specializing in its own development and implementation of a CRM system and energy solutions for medium and large companies for almost 20 years.

KŠB's assistance consisted mainly in performing a due diligence and in negotiating acquisition and post-acquisition agreements.

Holding Solitea, which develops business, accounting and personnel systems with more than 260,000 customers, has already acquired dozens of companies in the Czech Republic and Slovakia with the support of KŠB, most recently the IT Services division of the Czech company AspectWorks.

KŠB achieved a significant victory in one of the most closely watched cases concerning a review of the adequacy of the consideration paid in a squeeze-out of minority shareholders

The Municipal Court in Prague, in the first instance, dismissed the claims of former minority shareholders of PFNonwovens a.s., who challenged the adequacy of the consideration paid during the squeeze-out carried out in March 2021 and sought to have it increased by up to double the amount.
